
1. Payment Terms
50% upfront deposit — due prior to project start.
The deposit becomes non-refundable once work has commenced.
Remaining 50% — due upon final delivery, before transfer of files or website.
All payments are made via the agreed method (PayPal, bank transfer, or equivalent).
No files, website transfers, or publishing will occur until the full balance is received.
2. Scope of Work & Revisions
The project includes:
Deliverables as defined in the approved proposal.
Up to 3 revision rounds.
Each revision round consists of one consolidated list of edits provided in written form.
Additional revisions or new creative directions outside the initial scope are billed at $100/hour.
Major redesigns or requests inconsistent with approved concepts will require a new proposal and cost estimate.
3. Client Responsibilities
The Client agrees to:
Provide all content, materials, and feedback on time.
Communicate clearly and respectfully.
Deliver feedback in writing through approved channels.
Delays in Client feedback or missing materials will automatically extend the timeline.
4. Intellectual Property & Rights
All designs, layouts, animations, code, and other creative assets remain the sole property of the Provider until full payment is received.
Before full payment:
The Client has view-only access to preview files.
Copying, recording, or reuse of materials is strictly prohibited.
After full payment:
The Client receives a commercial license to use the final delivered assets solely for the agreed project.
The Provider retains the right to display the work in a portfolio, website, and social media.
5. Cancellation & Termination
By Client:
Cancellation before work begins: refund of deposit minus administrative costs (if any).
Cancellation after work begins: deposit is non-refundable, and payment is required for all completed work.
By Provider:
The Provider reserves the right to terminate the project in case of:
Non-payment,
Abusive communication,
Unreasonable scope changes, or
Client inactivity exceeding 14 consecutive days.
In such cases, the deposit is retained, and all unfinished work remains the property of the Provider.
6. Usage, Copying, and Plagiarism
The Client may not:
Copy or recreate the design independently,
Hire another party to reproduce the project, or
Launch or publish the work prior to full payment.
Unauthorized use of unpaid work constitutes copyright infringement and may result in legal action.
7. Communication
Approved communication channels: Email / Slack / Notion / ClickUp.
Calls must be scheduled in advance.
Working hours: Monday–Friday, 9:00–18:00 (GMT+5).
Provider is not obligated to respond to urgent messages outside working hours.
8. Force Majeure
Neither party shall be held liable for delays or non-performance due to events beyond their control, including but not limited to illness, natural disasters, internet outages, or government restrictions.
